Terms of Use & IP Framework

This site is a demonstration prototype (the “Prototype”) designed, developed, and operated by VibePass Technologies, a software development and software publishing company operating under VibePass AI(collectively, “VibePass”). The Prototype is presented as a good-faith partnership proposal to NextFest in connection with the 2026 free summer concert series produced with the Los Angeles County Department of Parks and Recreation. Nothing on this site constitutes a binding commercial offer or sponsorship agreement; pilot scope, pricing models, sponsorship packages, and growth partnership terms will be set out in a separate written agreement between the parties.

VibePass is not a website agency and does not build marketing websites. VibePass builds and owns the lane for the digital infrastructure of cultural engagement — festival and public-gathering companion technology engineered to amplify human connection at festivals, public gatherings, civic activations, and summer concert series like this one. The Prototype is one expression of that platform, configured for NextFest.

The NextFest name, logo, wordmarks, and brand identity are the exclusive property of NextFest and its rights holders. They appear on this Prototype solely for the purpose of the proposed partnership and are used with permission for demonstration purposes only. No transfer, license, or assignment of NextFest’s marks or brand assets is granted by their appearance here. All goodwill arising from the use of NextFest marks inures to the benefit of NextFest.

The VibePass name, logo, wordmarks, brand system, and underlying platform — together with all source code, software, designs, user interface and user experience patterns, information architecture, data models, prompt systems, AI orchestration logic, copy frameworks, and the conceptual architecture for festival companion technology embodied in this Prototype — are the exclusive property of VibePass and are protected by copyright, trademark, trade-secret, and other applicable intellectual property laws.

Without limiting the foregoing, the following are proprietary VibePass features developed as part of the VibePass framework and licensed (if at all) only under a separate written agreement:

• Memory Studio — modular photo booth, branded overlays, and post-event memory capture.
• Reflection Studio — community reflection and sentiment capture flows.
• Festival Guide AI — multilingual companion guide and contextual prompts.
• Command Center — operator-side coordination, check-in, and live event tooling.
• The festival map, parks browser, artist discovery, and partner activation surfaces as configured here.
• All related modules, prompts, taxonomies, design tokens, and component patterns that comprise the VibePass platform.

The Prototype is intended to open a pilot conversation with NextFest. VibePass is interested in equitable, growth-aligned partnerships and is open to discussing pricing models, sponsorship packages, revenue sharing, and creative structures where success is shared. Discussions are confidential and non-binding until reduced to a signed written agreement.

Nothing in this Prototype, and no access to or use of it, grants any party — by implication, estoppel, or otherwise — any license or right to copy, reproduce, reverse-engineer, retrain models on, fine-tune from, scrape, or create derivative works from the VibePass platform, its proprietary features, or its underlying code, prompts, or designs. All rights not expressly granted are reserved.

Marks belonging to the Los Angeles County Department of Parks and Recreation, participating sponsors, venues, artists, and other partners remain the property of their respective owners and appear here for identification and demonstration purposes only.

The Prototype is provided “as is” for evaluation. Concert lineups, dates, venues, and partner details are illustrative and will populate as event details are confirmed. VibePass makes no warranties regarding availability, accuracy, or fitness for a particular purpose during the demonstration period.
